Company Secretary Senior Officer - Listed Clients

For our office in London, we are searching for an experienced company secretarial professional with listed experience to join the Company Secretarial department.   • You will have day to day responsibility for a portfolio containing a mix of corporate entities including private and listed companies (with a strong focus on the listed companies) and will act as one of the main points of contact for all matters relating to the clients;
  • You will be responsible for up to date technical knowledge and ensuring operational excellence is delivered to clients; and
  • You will provide support, guidance, development and review work produced by junior team members.


  • Takin care of the day-to-day company secretarial operations of a portfolio of listed and private companies managed by Alter Domus;
  • Sharing your knowledge and experience with listed companies with the current team and training the team members;
  • Providing board support and ensuring the smooth operation of the Board meetings, Annual General Meetings, Audit Committees etc. to include assisting with the preparation and presentation of board papers;
  • Assisting with the preparation of the annual and interim financial report and liaising with both internal and external parties; assisting on drafts of strategic reports, directors remuneration policy, S.172 statement and others;
  • Ensuring compliance with the continuing obligations of the Listing rules;
  • Assisting with the preparation and publication of announcements with the stock exchange (RNS announcements);
  • Maintenance of the company’s statutory records, assisting with the Companies House filings and more generally with any ad-hoc corporate event (e.g. change of director, share allotments, amendment of articles etc.);
  • Corresponding with various stakeholders (client, NEDs/directors, registrar, stock exchange, accountant, auditors, compliance, depositary etc.);
  • Advising on best practice including enhanced governance aspects for listed companies;
  • Monitoring the legislative, regulatory and corporate governance developments;
  • Monitoring of Know Your Customer/Due Diligence on investors and any other relevant stakeholder;
  • Ensuring operational processes are delivered to a high quality and in a timely manner;
  • Managing priorities and critical decisions and supporting the team and peers.


  • ICSA/CGI qualification or equivalent university degree, or part qualified with substantial expertise in a similar role;
  • 3 years or more of relevant experience (company secretarial role including listed work);
  • Prior experience in professional services would be a strong asset;
  • A good working knowledge of the Companies Act 2006 including the ability to research and provide advice on corporate governance matters;
  • Good knowledge of listed companies aspects including enhanced governance rules, corporate governance code, directors duties, terms of reference, AGMs, audit committees, RNS announcements; Market Abuse Regulations, DTR5 etc.;
  • Strong interpersonal skills and presentation skills along with the ability to communicate at all levels of the organisation;
  • Ability to interact with a number of stakeholders, including Directors, NEDs, registrar, clients, accountants and senior management;
  • Excellent technical skills including strong board support skills;
  • Possess team spirit, the capacity to build strong relationships, and take initiative to act without waiting for direction when appropriate;
  • Organised with an eye for detail;
  • Ability to prioritise, work well under pressure and exercise independent judgment;
  • Demonstrate commitment to deliver excellent client service.
