YOUR ROLE

 


Managing the Company Secretary team within the Corporate Service function, providing knowledge support and mentoring team members for the delivery of company secretary services, acting as key link for client escalation and relationship management, adopting and building robust controls and processes for the team to ensure compliance with corporate governance, constitutional documents, regulatory obligations, companies act, central bank requirements, statutory filings and ongoing governance standard. You will also support the senior management in cultivating an environment for technology development and adoption, work closely with other managers in the Corporate Service functions for KPI and risk management, support other internal functions such as revenue recognition and billing processing. 

 

YOUR RESPONSIBILITIES

 

  • Managing a team to provide company secretarial services to Irish based structures both regulated and unregulated;  
  • Forming relationships with both clients, Alter Domus operations teams & service providers (AIFM, Administrator, Depositary, Investment Manager & Legal Counsel);  
  • Overseeing various company secretarial transactions (e.g. incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, buy back, power of attorney, loan notes etc.) to include preparation and/or review of the necessary corporate approvals, Companies Registration Office filings, statutory registers updates etc.; 
  • Enhance process and procedures for managing day-to-day company secretarial operations of the entities; 
  • Monitoring changes in relevant legislation and the regulatory environment and taking the appropriate action; 
  • Collaborating on setup and / or on-boarding of client structures, and administering complex international structures; 
  • Preparing for and attending board and shareholders' meetings, documenting, drafting and or reviewing and circulating minutes and actions agreed upon;   
  • Preparing board packs and maintaining the annual compliance calendar of ICAVs and ILPs;
  • Take a proactive approach interacting with Independent Non-Executive Directors to ensure a high level of corporate governance is enforced for all entities;
  • Maintenance of statutory records for entities and ensuring annual and ad-hoc filing requirements are met;  
  • Proactive collaboration between the Co-Sec and Accounting teams as well as other Alter Domus offices, with a focus on client service delivery; 
  • Ensuring the internal processes are followed and logs/trackers are updated;   
  • Supporting team on client engagement and transactions.

 

YOUR PROFILE

 

  • A university law or business graduate, with an excellent academic background;
  • Have corporate governance or company secretarial qualification; 
  • 5 years relevant experience in legal or company secretarial fields, exposure in financial services or corporate administration is an asset but not a requirement; 
  • Strong knowledge of Companies Act 2014  
  • Possess team spirit, the capacity to build strong client relationships, and take initiative to act without waiting for direction when appropriate; 
  • Flexible and hands-on approach; 
  • Excellent attention to detail essential; 
  • Ability to prioritise and to handle multiple projects simultaneously is essential; 
  • Strong communication skills with ability to work across multiple levels.
