JOB DESCRIPTION:

We are looking to hire an Associate Legal Counsel, Debt Capital Markets, APAC (3 to 5-year PQE) to work within our Hong Kong Debt Capital Markets business to work on APAC private credit deals that involve our Hong Kong, Singapore and Australian businesses.

The successful candidate will have the opportunity to work in a market leading global loan agent and loan administration business that services leading global banks and non-bank lenders including sovereign wealth funds, insurance firms and private debt funds.

The role sits within the APAC Debt Capital Markets business and involves working closely with team members in the Hong Kong, Singapore and Australia offices to facilitate the efficient operation of APAC and global private credit transactions and includes undertaking the following activities.

 

(1) Review and arrange execution of typical and bespoke LMA and APLMA loan agreements and security documents from the perspective of facility agent and security trustee relating to cross-border syndicated and bilateral loan transactions;

(2) Support the business to ensure it acts within its regulatory remit in the Asia-Pacific region including in Hong Kong, Singapore and Australia markets;

(3) Liaise with senior management and external counsel in relation to the preparation of license applications for the Singapore (Payments License) and Australian (Financial Services License) licenses;

(4) Manage the documentary process of new loan transactions from the loan agent’s perspective, include tracking and confirming completion of conditions precedent and conditions subsequent where necessary;

(5) Manage the documentary process for amendments to existing loan transactions from the agent’s perspective including increasing facilities, documentary amendments, transfers and accessions of new parties, etc.;

(6) Manage the engagement of external legal counsel on bespoke and complex loan and debt transactions and regulatory matters, including instructing counsel and managing costs;

(7) Facilitate the onboarding process of new clients with the onboarding, compliance and AML/CFT teams;

(8) Assist in the preparation of marketing materials for any legal issues and work with the sales and operations team in preparing fee proposals for prospective clients.

 

YOUR PROFILE:

• Will have a law degree from a common law jurisdiction;

• Have gained 3-5 years’ experience with APLMA loan documentation;

• Bring a commercial perspective to addressing legal risk; and

• Ambition to develop debt capital market expertise for Hong Kong, Singapore and Australian debt markets.
