You will be part of a team that provides legal, regulatory, compliance, and company secretarial services to Alter Domus clients, primarily dealing with compliance and company secretarial assignments with a focus on trusts and transaction monitoring for our client portfolio and new client engagements, as well as the formation of new structures in Malta, mainly in the private equity, real estate, and debt capital markets sectors, and tailored administration solutions across a range of industries. You will be responsible for assisting in the following areas, among others:

 

 

 

Job Description

 

  • On-going servicing of regulated entities, trusts and / or funds by providing the clients with suitable solutions in response to their queries;
  • Establishment of new corporate structures, involvement from proposal to set-up or take-over, including the preparation of compliance files and transactional compliance monitoring;
  • Assist in the development of clients' and / or internal compliance policies and procedures manuals and ensure that they are kept up to date with Compliance Laws and Regulations.
  • Preparation of compliance reports and monitoring plans for internal and/or external purposes;
  • Keeping abreast of new legislation and regulatory updates;
  • Preparation for Board Meetings, distribution of agendas, preparation of board documents and drafting of board minutes as a result of meetings, attendance at client board meetings and other related meetings;
  • Assisting clients with any structural changes that may be required, as well as the drafting of resolutions and other compliance / company secretarial documents as needed;
  • Liaising with Banks/ Registry of Companies/ Malta Financial Services Authority and other authorities as may be required;
  • On-going servicing of the company secretarial duties as requested by the clients from time to time and providing the clients with suitable solutions in response to their queries;
  • Review of and amendments to the corporate / legal documents as requested by the clients from time to time and providing the clients with suitable solutions in response to their queries;
  • Assist and mentor colleagues within the team;
  • Other duties that may be assigned from time to time that are reasonably related to the same level and classification of the graded job/position.
